Service Availability

Our services are subject to availability and may vary by geographic location. We reserve the right to modify, suspend, or discontinue any part of our services at any time.

User Obligations

Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these terms. You must not:

• Use our services for any illegal, harmful, or fraudulent activity
• Submit content that is defamatory, obscene, or violates third-party rights
• Interfere with or disrupt our services or servers
• Attempt to gain unauthorized access to our systems
• Use our services to compete with our business

Content Standards

All advertising content must comply with:

Payment Terms

Pricing and Billing

Service pricing is outlined in your service agreement or quote. Payment terms include:

• Payment due within 30 days of invoice date
• Late payments subject to 1.5% monthly service charge
• Services may be suspended for overdue accounts
• All fees are non-refundable unless otherwise specified

Cancellation Policy

Campaign cancellations must be provided in writing at least 48 hours before scheduled start time. Cancellations with less notice may be subject to fees.

Intellectual Property

Our Rights

TruckYeah Media retains all rights to our proprietary technology, software, processes, and materials. Our trademarks, logos, and brand elements are protected by intellectual property laws.

Your Content

You retain ownership of content you provide to us. By using our services, you grant us a license to:

• Display your content on our mobile advertising platforms
• Reproduce and distribute content as necessary for service delivery
• Create derivative works for optimization purposes
• Use campaign data for analytics and reporting

Third-Party Rights

You warrant that your content does not infringe on third-party intellectual property rights and that you have obtained all necessary permissions for its use.

Limitation of Liability

Service Performance

While we strive to deliver high-quality services, we cannot guarantee specific results or outcomes from your advertising campaigns. Performance may vary based on factors outside our control.

Liability Limits

Our total liability to you for any claims arising from our services shall not exceed the amount you paid for the specific service giving rise to the claim. We are not liable for:

• Indirect, incidental, or consequential damages
• Lost profits or business opportunities
• Third-party actions or claims
• Force majeure events beyond our reasonable control

Termination

Termination by Either Party

Either party may terminate the service relationship with written notice. Specific termination terms are outlined in individual service agreements.

Immediate Termination

We may immediately terminate or suspend services if you:

• Violate these terms or applicable laws
• Fail to pay invoices when due
• Engage in fraudulent or harmful activities
• Breach confidentiality or security requirements

Effect of Termination

Upon termination, your access to services will cease, outstanding payments become immediately due, and both parties' confidentiality obligations continue.

Governing Law and Disputes

Jurisdiction

These terms are governed by the laws of the State of California. Any disputes shall be resolved in the courts of Los Angeles County, California.

Dispute Resolution

Before initiating legal proceedings, parties agree to attempt resolution through good faith negotiation. If unsuccessful, disputes may be resolved through binding arbitration.

Severability

If any provision of these terms is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.
